In a statement posted on its social media accounts, Türk Nippon Sigorta announced that an agreement had been signed regarding the planned merger between VHV Allgemeine Sigorta A.Ş. and Türk Nippon Sigorta A.Ş.
According to the company’s statement, the completion of the transaction is subject to the fulfilment of customary closing conditions and the receipt of all necessary regulatory approvals, primarily from the Insurance and Private Pension Regulation and Supervision Authority (SEDDK) and the Competition Authority.
The statement noted that the transaction reflects a shared strategic vision aimed at bringing together the international experience, technical expertise, complementary business portfolios and established local distribution channels of both insurance groups under a single umbrella in Turkey.
The parties emphasised that both companies will continue to operate independently until the merger process is completed and the necessary regulatory approvals are obtained.
It was noted that the merger process is being conducted in coordination with the relevant regulatory authorities and shareholders, in full compliance with the applicable legal and regulatory framework.
