HDI Sigorta has entered into a share transfer agreement for the sale of its participatory insurance subsidiary, HDI Katılım Sigorta, to Aydın Group. The move reflects HDI Sigorta’s intention to sharpen its focus on core strategic priorities while enabling the subsidiary to continue its journey under a new ownership structure.
The transaction will be completed once the required approvals are received from the Competition Authority and the Insurance and Private Pension Regulation and Supervision Authority (SEDDK). Through this acquisition, Aydın Group plans to expand the participatory insurance ecosystem it has been building across retail, healthcare, and banking.
Rapid growth made HDI Katılım Sigorta a notable asset
Firuzan İşcan, Managing Director of HDI Sigorta and Chair of the Board of Directors of HDI Katılım Sigorta, stated that the company has delivered impressive results since its establishment in 2023. She emphasized that its fast progress, strong collaborations, and market position turned it into a meaningful success story in a very short time.
According to İşcan, HDI Katılım Sigorta becoming part of Aydın Group, one of Turkey’s prominent business groups, demonstrates the value created by the company. She underlined that the transfer is a planned decision aligned with HDI Sigorta’s long-term priorities and added that resources will now be redirected toward areas of the core business that can generate greater value for customers and business partners. This step is also intended to reinforce operational strength and support future growth opportunities more effectively.
Turkey remains strategically important for HDI International
HDI Sigorta continues to pursue growth in Turkey as one of the important companies within HDI International AG, which operates under the Talanx AG group. The company reiterated that the Turkish market remains strategically significant for its international operations.
İşcan noted that the group’s trust in Turkey remains strong. She said HDI Sigorta will continue improving service standards for customers, agents, and business partners while using resources efficiently to support sustainable growth and preserve its strong standing in the insurance sector.
Aydın Group targets broader reach in participatory insurance
Halil Bay, Deputy General Manager for Sales at HDI Sigorta and General Manager of HDI Katılım Sigorta, said the company has established a solid organizational foundation, achieved strong financial performance, and built considerable growth momentum in a short period. He described the handover as the continuation of a successful journey and said HDI Sigorta would keep advancing together with its business partners.
Aydın Group, which employs nearly 80,000 people and stands among Turkey’s major corporate groups, sees substantial potential in the acquisition. Berke Biricik, Investment Director at Aydın Group, said the company believes its existing ecosystem—particularly in retail, healthcare, and banking—will help accelerate growth in participatory insurance.
Aydın Group aims to develop a structure that delivers wider access to policyholders, a stronger service experience, and comprehensive insurance products. Backed by its strong capital base, the group plans to support HDI Katılım Sigorta’s development in this new phase and contribute to advancing both the company and the broader participatory insurance sector.
